| AN ACT |
| |
1 | Amending Title 15 (Corporations and Unincorporated Associations) |
2 | of the Pennsylvania Consolidated Statutes, in officers, |
3 | directors and members, further providing for manner of giving |
4 | notice. |
5 | The General Assembly of the Commonwealth of Pennsylvania |
6 | hereby enacts as follows: |
7 | Section 1. Section 5702(a) of Title 15 of the Pennsylvania |
8 | Consolidated Statutes is amended to read: |
9 | § 5702. Manner of giving notice. |
10 | (a) General rule.--[Whenever written] |
11 | (1) Any notice [is] required to be given to any person |
12 | under the provisions of this subpart or by the articles or |
13 | bylaws of any nonprofit corporation[, it may] shall be given |
14 | to the person either personally or by sending a copy thereof |
15 | [by]: |
16 | (i) by first class or express mail, postage prepaid, |
17 | [or by telegram (with messenger service specified), telex |
18 | or TWX (with answer back received)] or courier service, |
19 | charges prepaid, [or by facsimile transmission,] to [his] |

1 | the person's postal address [(or to his telex, TWX or |
2 | facsimile number)] appearing on the books of the |
3 | corporation or, in the case of directors or members of an |
4 | other body, supplied by [him] the person to the |
5 | corporation for the purpose of notice. [If the notice is |
6 | sent by mail, telegraph or courier service, it shall be |
7 | deemed to have been given to the person entitled thereto |
8 | when deposited in the United States mail or with a |
9 | telegraph office or courier service for delivery to that |
10 | person or, in the case of telex or TWX, when dispatched.] |
11 | Notice under this subparagraph shall be deemed to have |
12 | been given to the person entitled thereto when deposited |
13 | in the United States mail or with a courier service for |
14 | delivery to that person; or |
15 | (ii) by facsimile transmission, e-mail or other |
16 | electronic communication to the person's facsimile number |
17 | or address for e-mail or other electronic communications |
18 | supplied by the person to the corporation for the purpose |
19 | of notice. Notice under this subparagraph shall be deemed |
20 | to have been given to the person entitled thereto when |
21 | sent. |
22 | (2) A notice of meeting shall specify the [place,] day |
23 | [and], hour and geographic location, if any, of the meeting |
24 | and any other information required by any other provision of |
25 | this subpart. |
